There are two ways to liquidate a GmbH in Germany:
Normal Liquidation of a GmbH
In the case of normal liquidation of a GmbH, the one-year blocking period principle applies in Germany. This means that you can begin the process of dissolving your company at any time, but you must wait at least 12 months before the company is finally deleted. During this time, you must continue your accounting as normal and can terminate all your contracts.
Immediate Liquidation of a GmbH
(merger dissolution)
In the case of an immediate / merger liquidation of a GmbH, you can apply for deletion immediately. This will then take effect retroactively to the beginning of the current financial year.
